Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of the SCM·Edge Suite platform, APIs, edge applications and related services (collectively, the "Service") provided by SCM·Edge Suite ("we", "us"). By creating a workspace, signing in, or otherwise using the Service you ("Customer") agree to be bound by these Terms.

2. Workspaces and accounts

Each Customer operates one or more tenant workspaces. The first user to provision a workspace is the Owner and is responsible for inviting team members, managing roles, and ensuring use of the Service complies with these Terms and applicable law.

3. Subscriptions and Pilot tier

New workspaces are enrolled in a 30-day Pilot tier by default. Continued access after the Pilot period requires a paid subscription. Pricing, included quotas and overage charges are described in-product and may be updated with reasonable notice.

4. Acceptable use

  • No use that violates applicable trade, sanctions, anti-bribery, or export laws.
  • No upload of malware, illegal content, or third-party data without authority.
  • No attempt to circumvent rate limits, RLS, or tenant isolation controls.
  • No resale or sub-licensing outside the reseller program.

5. Customer data

Customer retains all rights in data submitted to the Service ("Customer Data"). We process Customer Data only to provide, secure, and improve the Service, subject to the Privacy Policy and Data Processing Addendum.

6. AI features

AI-generated content (HS classifications, anomaly explanations, dunning drafts, etc.) is provided as decision support and is not a substitute for professional, legal, or regulatory advice. Customer is responsible for reviewing AI output before acting on it.

7. Service levels and changes

We use commercially reasonable efforts to keep the Service available and to provide advance notice of breaking changes to public APIs.

8. Disclaimer and liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law our aggregate liability is capped at fees paid in the twelve months preceding the claim.

9. Termination

Either party may terminate for material breach if uncured after 30 days' written notice. On termination Customer may export tenant data for 30 days via the in-app export tool.

10. Governing law

These Terms are governed by the laws of the jurisdiction designated in the Order Form, or, absent one, the laws applicable at the Owner's billing address.
